Terms of Service

1. Agreement to Terms
By accessing or using the iReal Estate Solutions ("iRES") platform, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our service. These Terms apply to all users of the platform, including real estate professionals, agents, brokers, and their authorized representatives.
2. Description of Service
iRES provides an AI-powered email marketing platform specifically designed for real estate professionals. Our services include:
- AI-generated email content using IBM Watson X technology
- Integration with Follow Up Boss CRM for lead management
- Gmail integration for email sending and tracking
- Campaign management and analytics
- Multi-stage email automation workflows
- Lead scoring and categorization
- Email signature management
3. Account Registration and Access
3.1 Invitation-Only Access: iRES is currently available by invitation only. Access must be approved by Brian Moran or authorized representatives of iReal Estate Solutions.
3.2 Account Requirements: You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.3 Eligibility: You must be at least 18 years old and a licensed real estate professional or working under the supervision of a licensed professional to use our services.
3.4 Account Security: You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
4. Subscription and Payment
4.1 Subscription Fee: The platform is available for $699 per month, billed monthly.
4.2 Payment Terms: Payment is due in advance on a monthly basis. We accept major credit cards and ACH transfers. All fees are non-refundable except as required by law.
4.3 Price Changes: We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.
4.4 Late Payment: Failure to pay may result in suspension or termination of your account and access to the service.
5. Acceptable Use Policy
You agree not to:
- Use the service for any illegal or unauthorized purpose
- Send spam, unsolicited emails, or violate CAN-SPAM Act requirements
- Misrepresent your identity or affiliation
- Interfere with or disrupt the service or servers
- Attempt to gain unauthorized access to any portion of the service
- Use the service to send malicious content or malware
- Violate any applicable real estate laws or regulations
- Share or sublicense your account access with unauthorized parties
- Exceed the rate limits or usage restrictions of integrated services
- Use the service to harass, abuse, or harm another person
6. Email Marketing Compliance
6.1 Legal Compliance: You are responsible for ensuring all email campaigns comply with applicable laws, including the CAN-SPAM Act, GDPR, and state privacy laws.
6.2 Consent: You represent that you have obtained necessary consent from all email recipients and maintain proper opt-out mechanisms.
6.3 Content Responsibility: While we provide AI-generated content, you are ultimately responsible for reviewing and approving all emails sent through the platform.
7. Intellectual Property
7.1 Platform Ownership: iRES and its original content, features, and functionality are owned by iReal Estate Solutions and are protected by international copyright, trademark, and other intellectual property laws.
7.2 User Content: You retain ownership of content you upload to the platform. By using our service, you grant us a license to use, modify, and display your content as necessary to provide the service.
7.3 AI-Generated Content: Content generated by our AI system is provided for your use within the scope of our services. You may use such content for your business purposes.
8. Third-Party Integrations
Our service integrates with third-party platforms including Google (Gmail, OAuth), Follow Up Boss, and IBM Watson X. Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, functionality, or data practices of these third-party services.
9. Data Protection and Privacy
Your use of our service is also governed by our Privacy Policy. You agree to comply with all applicable data protection laws when using our service, including proper handling of personal information of your leads and contacts.
10. Disclaimers and Limitations of Liability
10.1 Service Availability: The service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free service.
10.2 No Professional Advice: Content provided through the platform is for informational purposes only and does not constitute legal, financial, or professional advice.
10.3 Limitation of Liability: To the maximum extent permitted by law, iRES shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
10.4 Maximum Liability: Our total liability shall not exceed the amount paid by you for the service in the six months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless iReal Estate Solutions, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the service, violation of these Terms, or violation of any rights of another party.
12. Termination
12.1 Termination by You: You may terminate your account at any time by contacting us. Termination does not entitle you to any refunds.
12.2 Termination by Us: We may suspend or terminate your account immediately for violation of these Terms or for any other reason at our discretion.
12.3 Effect of Termination: Upon termination, your access to the service will cease immediately. We may retain certain data as required by law or for legitimate business purposes.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use of the service after changes constitutes acceptance of the modified Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law: These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
14.2 Arbitration: Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
14.3 Venue: Any legal proceedings shall be brought exclusively in the courts located in Cook County, Illinois.
15. General Provisions
15.1 Entire Agreement: These Terms constitute the entire agreement between you and iRES regarding the use of the service.
15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment: You may not assign or transfer these Terms without our prior written consent.
